And its not quite the way you think, BTW. Lets look at it like this:
Setup: Rogue walks up to guard. Guard fails spot and listen checks, Rogue is within 5 feet. Rogue declares he's going to attack, DM declares that the Guard is surprised, hence flat-footed.
Surprise Round: Rogue gets one partial action while Guard is flat-footed: He makes one sneak-attack.
1st Round: No initiative is rolled, Rogue is assumed to go before the Guard. He takes a full attack action and gets ALL his attacks on the poor flat-footed guard. He applies sneak attack damage to each one. Now, provided the Guard is still alive, he goes next and is no longer flat-footed.
